Terms and Conditions ("Terms", "Agreement")
These Partner Pricing Terms (“Terms”) govern subscriptions purchased under partner-issued pricing for Juan (the “Platform”) operated by Ten Elleven Manila Inc (“Company”, “we”, “us”).
By selecting “I accept the Partner Pricing Terms”, the subscribing organization (“Partner”, “you”) agrees to these Terms in addition to the Platform’s primary Terms of Services. In the event of conflict, these Terms apply solely to partner pricing and discounts.
1. Standard Partner Pricing
The Platform is offered under a paid subscription plan at the standard rates published at the time of subscription (“Standard Pricing”).
The Company reserves the right to update Standard Pricing at any time in accordance with the primary Terms of Services.
2. Partner Pricing Discounts
A. Definition
Partner pricing discounts represents a conditional discount applied to Standard Pricing and does not alter the underlying list price of the subscription.
Partner pricing discounts are non-transferable, non-resellable, and may not be combined with other promotions unless expressly approved by the Company.
The Company may modify, suspend, or terminate partner pricing discounts at its discretion. Such changes will not affect an active minimum commitment but may apply to future renewals.
B. Eligibility for Partner Pricing Discounts
Partner pricing discount(s) is available only to organizations that:
Receive a valid partner pricing discount from the Company; and
Maintain their account in good standing.
C. Minimum Commitment for Discounted Subscriptions
Where a recurring partner discount is applied, the Partner agrees to a minimum subscription commitment of twelve (12) months, beginning on the subscription start date.
This commitment applies regardless of billing frequency.
Partner pricing is offered in exchange for this minimum commercial commitment.
D. Early Cancellation or Plan Changes
If the Partner cancels the subscription, downgrades to an ineligible plan, or otherwise terminates the service before fulfilling the minimum subscription commitment, the Company reserves the right to:
Recover the value of discounts granted during the commitment period;
Charge the amount to the billing account or issue an invoice; and
Remove partner pricing discount and associated benefits immediately.
Discount recovery represents a reversal of promotional pricing previously granted and shall not be considered a penalty.
E. Misuse or Unauthorized Application
The Company reserves the right to revoke partner pricing discount(s) and adjust billing where it reasonably determines that:
A discount was obtained through unauthorized channels;
Accounts were created to circumvent Standard Pricing;
The Partner acted in bad faith; or
The subscription is used in violation of the Platform Terms.
3. Renewal
Upon completion of the applicable minimum commitment period (if any) or the then-current billing period, whichever is longer:
The subscription may renew at the then-current Standard Pricing; or
Where partner pricing discount applies, continue at a revised partner rate communicated prior to renewal.
Subscriptions purchased at Standard Pricing are not subject to a minimum commitment period unless otherwise stated.
